These Terms of Service ("Terms") govern your use of the HeadHunterAI website, Onyx Portal, and managed job search services (collectively, the "Service") operated by HeadHunterAI ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Service Description

HeadHunterAI provides a managed job application service. Our team sources job opportunities, prepares tailored application materials, and submits applications on your behalf based on the preferences and information you provide during onboarding. Applications are crafted with the assistance of AI tools and reviewed, refined, and submitted by our team members.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. By creating an account, you represent that the information you provide is accurate and complete.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Your Responsibilities

By using the Service, you agree to:

• Provide accurate, truthful information about your experience, qualifications, and job preferences.
• Review and approve your onboarding materials (resume, job search brief) before we begin applying.
• Respond to communications from our team in a timely manner.
• Not use the Service for any unlawful purpose or to misrepresent your qualifications to employers.

5. Subscription and Payment

• Billing: Subscriptions are billed monthly on a recurring basis. Payment is processed through Stripe.
• Plan changes: You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
• Cancellation: You may cancel your subscription at any time from within your portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
• Failed payments: If a payment fails, we may pause your campaign until the issue is resolved. Continued non-payment may result in account suspension.

6. No Guarantee of Employment

We do not guarantee that you will receive interviews, job offers, or employment as a result of using our Service. Job search outcomes depend on many factors outside our control, including your qualifications, market conditions, employer hiring decisions, and timing. What we do guarantee is consistent, professional execution of your job search campaign with full transparency into every action taken.

7. Intellectual Property

All content, designs, trademarks, and technology associated with the Service are owned by HeadHunterAI. Application materials (cover letters, application responses) created as part of your campaign are prepared for your use and may be submitted to employers on your behalf.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, HeadHunterAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, employment opportunities, or data, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless HeadHunterAI, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or any misrepresentation in the information you provide.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, provide false information, or engage in conduct that we determine is harmful to other users or our business. Upon termination, your right to use the Service ceases immediately.

13. Modifications

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in California.
